Terms of Service

1. Acceptance of Terms

By accessing or using the ProGig platform ("Platform"), operated by ProGig Technologies Inc. ("ProGig," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

These Terms apply to all users of the Platform, including performers, vendors, event organizers, venue operators, and visitors. We may update these Terms from time to time, and your continued use of the Platform after any changes constitutes acceptance of the revised Terms.

2. Account Registration & Responsibilities

To use certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify ProGig of any unauthorized use of your account or any other breach of security.

You must be at least 18 years of age to create an account and use the Platform. By creating an account, you represent and warrant that you meet this age requirement.

3. Subscription Plans & Billing

ProGig offers various subscription tiers, including a free tier with limited features. Paid subscription plans are billed on a recurring basis (monthly or annually) as indicated at the time of purchase.

All fees are quoted in Canadian dollars (CAD) unless otherwise stated. Applicable taxes will be added to your subscription fees as required by law. Payment processing is handled by Stripe, a third-party payment processor, and is subject to Stripe's terms of service.

You authorize ProGig to charge your designated payment method for all fees associated with your selected subscription plan. If a payment fails, we may suspend or downgrade your account until payment is received.

Subscription upgrades take effect immediately, with pro-rated charges applied to your current billing cycle. Downgrades take effect at the end of the current billing period. See our Refund Policy for cancellation details.

4. Platform Usage Rules

You agree to use the Platform only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:

  • Use the Platform in any way that violates applicable federal, provincial, or local laws or regulations.
  • Post false, misleading, or deceptive content, including fake reviews or fraudulent profiles.
  • Attempt to gain unauthorized access to other user accounts or Platform systems.
  • Use automated scripts, bots, or scrapers to access the Platform without our prior written consent.
  • Interfere with or disrupt the integrity or performance of the Platform.
  • Circumvent any measures we use to restrict access to the Platform.

5. Intellectual Property

The Platform and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of ProGig Technologies Inc. and its licensors. The Platform is protected by copyright, trademark, and other intellectual property laws of Canada and international treaties.

By posting content on the Platform (including profile information, photos, media, and reviews), you grant ProGig a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content in connection with operating and promoting the Platform. You retain all ownership rights in your content.

You represent and warrant that you own or have the necessary rights, licenses, and consents to post content on the Platform, and that such content does not infringe upon the intellectual property rights of any third party.

6. Limitation of Liability

To the maximum extent permitted by applicable law, ProGig and its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from:

  • Your use of or inability to use the Platform.
  • Any unauthorized access to or use of our servers or personal information stored therein.
  • Any interruption or cessation of transmission to or from the Platform.
  • Any disputes between users of the Platform, including disputes related to bookings, payments, or services.

ProGig acts as a marketplace platform connecting performers with event organizers. We do not guarantee the quality, safety, or legality of services offered by performers or the accuracy of listings. In no event shall our total liability to you exceed the amount you have paid to ProGig in the twelve (12) months preceding the claim.

7. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms or the use of the Platform shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days of written notice, either party may submit the dispute to the courts of competent jurisdiction in Vancouver, British Columbia, Canada.

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from any court of competent jurisdiction.

8. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Platform will immediately cease. If you wish to terminate your account, you may do so through your account settings or by contacting us at the email address below.

All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect, by posting the updated Terms on the Platform and notifying you via email.

Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Platform.
